Integrated energy behemoth, Royal Dutch Shell plc ( RDS.A ) announced plans to sell a major part of its stake in the Australian petroleum exploration and production company, Woodside Petroleum Limited. The 19% stake sale would garner around $5 billion for Shell and lower its holding in Woodside to under 5%.
The 156.5 million shares sale would take place in two parts, involving selective buyback by Woodside and underwritten sell-down to equity market investors. An affiliate of Shell, Shell Energy Holding Australia Limited, has arranged two investment banks to sell around 9.5% or 78.27 million shares through an underwritten offering at A$41.35 per share, which is expected to close on Jun 18.
Moreover, Woodside would buy back the remaining 78.27 million shares at a price of $34.24 per share - $26.29 per share as dividend component and $7.95 per share as capital component. The buyback is expected to complete in early August.
Shell's management stated that the sale was a means to improve the company's capital efficiency and that it intends to drive growth in Australia through directly owned assets.
The stake sale in Woodside is not a first for the company. Shell had sold around 10% stake in this Australian energy company in 2010 in a $3.3 billion deal, thereby reducing its holding to 24%. However, Shell remains focused on projects in Australia.
Shell is one of the major integrated energy firms in the world with a large and diversified portfolio of development projects that offer attractive long-term opportunities. The company currently has a Zacks Rank #3 (Hold), implying that it is expected to perform in line with the broader US market in the next one to three months.
Meanwhile, one can consider better-ranked players from the broader energy sector like TC PipeLines, LP ( TCP ), Ultra Petroleum Corp. ( UPL ) and Encana Corp. ( ECA ). All these stocks sport a Zacks Rank #1 (Strong Buy).

The most inspirational moment of NSW's drought-breaking State of Origin victory came in the sheds post-match, when Alex McKinnon joined the Blues for their celebrations.
Ending Queensland's eight-year reign was no small task, but the presence of McKinnon in the ANZ Stadium home dressing rooms, put everything in perspective.
After the devastating spinal injury he suffered back in round three, McKinnon is continuing his recovery, fighting to be able to walk again.
Before the tragic accident occurred, the tough and versatile Newcastle forward was someone in the minds of NSW selectors as a future Origin player.
NSW had said they'd received a boost simply knowing McKinnon was attending the match, but as the emotion of their historic victory bubbled over in the sheds on Wednesday night, the 22-year-old was right alongside them in the inner sanctum to enjoy it all.
It was a special moment for all parties.
"It was great to see him here and he might be a bit of a lucky charm for us," said McKinnon's Knights teammate Beau Scott.
"I caught up with him before the game and he was in the sheds after to enjoy the moment with us.
"He didn't have anything to say - just to be here and have his presence and support was great.
"Obviously to go through the journey he's gone through - he's a very exceptional young man to be able to keep the level head he has.

McKinnon joins Blues in celebrations
Neighbors who oppose a proposed subdivision on Redbud Trail are accusing a former West Lake Hills city planner who recently left the city to start his own architecture business of ignoring emails from a potential buyer while he represented a separate, soon-to-be buyer who is now proposing the subdivision.
The allegations have temporarily stalled the West Lake Hills City Council votes on the subdivision proposals. The city Board of Adjustment did not vote on the variances because the mayor and a few board members said they would rather wait until the city attorney addresses the allegations.
Fillpot was never in charge of approving the application for the plans he is representing privately, Mayor Dave Claunch said.
Attorney Herb Prouty will look into the accusations against former city planner Davin Fillpot and will report his findings to the City Council at the upcoming June 25 meeting, Claunch said. Prouty works for the law firm of Alan Bojorquez, who serves as West Lake Hills city attorney.
Staff with the Texas Board of Architectural Examiners, which regulates the practice of architecture within the state, examined information provided by the Westlake Picayune about the allegations and found no indication of a violation of their own rules and statutes.
Fillpot has declined to comment before June 25 because the city is investigating these allegations, and I do not want to complicate their efforts, he said.
In a letter to the mayor and City Council, neighbor Chris Gunter has objected to someone so close to the city attorney being the investigating attorney. He requested that someone with experience investigating these matters, such as a former prosecutor, be chosen.
Mr. Bojorquezs role is to defend the City of Westlake Hills, and he is very zealous about this, Gunter wrote. An attorney associated with his firm does not engender even the appearance of an independent and objective investigation, much less an actual one.
Claunch said he disagrees that Prouty would be partial to one side.
Hes about as far removed from this situation and all the people involved as you can get, he said.
