ATLANTA--(BUSINESS WIRE)--

The Board of Directors of Georgia Gulf Corporation (GGC) today declared a quarterly dividend of 8 cents per share of common stock. The dividend is payable December 28, 2012, to shareholders of record at the close of business on December 21, 2012.

As previously disclosed, the Board of Directors has called a special meeting to be held on January 10, 2013, for shareholders of record on November 26, 2012, to approve the issuance of Georgia Gulf shares in the proposed merger with PPGs commodity chemicals business and to approve other matters described in the proxy statement dated December 6, 2012.

The terms of the proposed transaction call for PPG to form a new company by separating its commodity chemicals business through a spinoff or split off, and then immediately thereafter merging that business with a Georgia Gulf subsidiary in a Reverse Morris Trust transaction. The proposed merger would result in PPG shareholders receiving approximately 50.5 percent of the shares of the merged company (The Newly Merged Company), with existing Georgia Gulf shareholders owning approximately 49.5 percent of The Newly Merged Company.

Additionally, The Newly Merged Company expects to assume approximately $95 million of debt, about $87 million of minority interest, and related environmental liabilities, pension assets and liabilities and other post-employment benefits (OPEB) obligations of PPGs commodity chemicals business.

The transaction is subject to approval by Georgia Gulf shareholders and customary closing conditions, relevant tax authority rulings and regulatory approvals, and is expected to be completed in early 2013.

The new XM-L2 LED delivers up to 186 lumens-per-watt at 350 mA, 25C, a level of performance only available in a lab setting just three years prior. Built on Crees revolutionary SC Technology next generation LED platform, the new XM-L2 LEDs double the lumens-per-dollar and deliver 20 percent more lumens-per-watt over the original XM-L LED enabling lighting manufacturers to use fewer LEDs to deliver a better lighting system for less cost.

The new XM-L2 LEDs are designed for very high lumen applications such as indoor, high-bay and outdoor lighting. The high-performance XM-L2 LEDs are compatible with existing XM-L LED designs and leverage the 5mm x 5mm XM footprint allowing customers to easily incorporate the XM-L2 LEDs into existing XM LED designs to shorten the fixture design cycle and improve time-to-market.

The XM-L2 LED offers the unique combination of very high efficacy at high drive currents, delivering an unprecedented 1198 lumens at 116 lumens-per-watt efficacy at 3A, 25C. The XM-L2 is the eighth product built on Crees SC Technology platform. The innovative platform leverages Crees advanced silicon carbide technology, features advancements in LED chip architecture and phosphor and boasts a new package design to deliver the most advanced LED components in the industry.

The XM-L2 LED efficiently delivers hundreds of lumens per LED, allowing us to significantly reduce the number of LEDs in our designs, said Steve Walczak, director of engineering, Sternberg Lighting. By using fewer LEDs, we can simplify design and production, ultimately reducing cost without sacrificing light output or quality for our end customers.

Characterized at 85C, the XM-L2 LED is available in 2700K to 6200K color temperatures and offers minimum CRI options of 80, 85 and 90. Additionally, since the XM-L2 LED is a successor product to XM-L LEDs, the application of ENERGY STAR qualification requires only 3000 hours of XM-L2 LED LM-80 data, instead of the normal 6000 hours. The XM-L2 LED is also UL-recognized and features a level 4 rating.
