Decks have been cleared for the merger of ING Vysya Bank with Kotak Mahindra Bank with the shareholders of both the banks approving the amalgamation proposal at their respective extraordinary general meetings (EGMs) convenedon Wednesday.
Both ING Vysya Bank and Kotak Mahindra Bank informed the stock exchanges separatelyon Thursdaymorning about securing their shareholders approval for the proposed scheme of amalgamation.
The Bengaluru-headquartered ING Vysya Bank said the proposed scheme of amalgamation was approved by 89.04 per cent of the shareholders present at the EGM, representing 96.89 per cent of the value.
Kotak Bank said 99.30 per cent of its shareholders present at the EGM, representing 99.93 per cent in value approved the proposed merger.
The Kotak Mahindra Bank scrip gained 2.74 per cent in the early tradeon Thursdayand was trading at Rs 1,305.50, while ING Vysya Bank shares were up 3 per cent at Rs 904.70 on the BSE.
Share swap ratio
The amalgamation is subject to the approval from the Reserve Bank of India, Competition Commission of India and such other approvals as may be required, both the banks said. The share exchange ratio has been fixed at 725 equity shares of Kotak Bank for every 1,000 shares of ING Vysya Bank. The proposed merger will create a new entity that will be the fourth largest private sector bank in the country after ICICI Bank, HDFC Bank and Axis Bank.
A section of employees of ING Vysya Bank have been opposing the proposed merger seeking assurances from Kotak Mahindra Bank on job security and protection of their wages. Kotak Mahindra and ING Vysya had announced the proposed merger in November in a Rs 15,000-crore deal.

The driver slid off into the median, made several attempts to get back on the road and finally did, then slid off in another ditch where a tow truck would be needed to get the car out.
PESOTUM Lane blockages on Interstate 57 near I-72 west of Champaign and on I-74 near Lincoln Avenue north of Urbana have been cleared following early morning accidents, as has an accident in northwest Champaign.
News-Gazette photographers report seeing several cars sliding off I-74 westbound into the median near Lincoln Avenue.
Illinois State Police troopers are handling multiple crashes and vehicle slide-offs, especially on or near bridge decks on the interstates. A truck/camper trailer jackknifed on I-74 near Danville mid-morning, blocking the westbound driving lane.
About 7:48 a.m., Sabrina K. Tucker Hinton, 19, of Bement, was driving a pickup truck west on I-74 when she hit a patch of ice, struck the median, then went back across the westbound lanes and was struck by a UPS tractor trailer truck. Both vehicles came to rest blocking the lanes of the bridge deck over the railroad tracks.
Hinton was ticketed for failure to reduce speed to avoid an accident.
Meantime, Mattis Avenue north of Bradley in northwest Champaign was shut down for about an hour Wednesday morning as Champaign police dealt with a head-on collision that sent two women to the hospital.
Sgt. Tom Frost said the accident happened about 8:28 a.m. on Mattis at Williamsburg Drive.
A southbound Honda Accord driven by Lola Ratliff, 62, of Champaign, apparently lost control on the slick road and went into the oncoming lane of traffic. The car collided head-on with a northbound Kia Sedona van driven by Imee Smith, 33, of Champaign.

Residential and commercial properties will soon be able to hook up to the newly installed sewage system in the Pompton Plains business district of Pequannock.
Modern technology is coming to the business district in the Pompton Plains section of the township. While the outhouses may have been replaced by indoor plumbing decades ago, that plumbing will soon be able to be hooked up to the sewage system that has been under construction for the past year.
The township will be taking possession of the system from the contractor after all inspections and punch-list items have been completed, said Township Manager David Hollberg, most likely in the next couple weeks.
The portion of the system west of the railroad right-of-way, part of a $13 million project to install sewers in several areas of the Pompton Plains section of town, including the neighborhood known as The Village, is all but complete, Hollberg said. Work on the areas east of the railroad, which include The Village, are continuing on schedule, he said, with a completion date expected later this year.
Homes on Sunset Road and side streets, such as Leeland and Atwood avenues, will also be able to hook up to the system, Hollberg said.
Although hooking up to the sewage system and disconnecting from septic systems is mandatory, most homeowners will have up to three years to complete the process, Hollberg said.
Some businesses, however, are expected to want to hook up quickly, Hollberg said. Quick Chek convenience store on Jackson Avenue has indicated it would like to connect as soon as possible. Quick Chek relies on a sealed septic system, which requires emptying several times a month.
In general, Hollberg said, the ability to hook into sewers should improve the business environment in the area.
"We hope this will make the area more attractive to businesses that consume a lot of water, such as restaurants," he said. Just this week, Friendlys on the Turnpike abruptly closed, and last summer, Gillys, a restaurant just a few blocks north, also closed with little notice and remains shuttered.
