Comcasts plan to make its merger with Time Warner Cable palatable to regulators will elevate Charter Communications to the second-largest U.S. cable company.

The two companies announced a divestiture plan early today that would take effect after the close of the Comcast-Time Warner Cable merger. Charter would acquire about 1.4 million of Time Warner Cables current subscribers in a cash deal, boosting its customer base from 4.4 million to 5.7 million.

Comcast and Charter will also swap about 1.6 million existing Time Warner Cable customers and 1.6 million Charter customers in a tax-efficient like kind exchange. After a tax-free reorganization, the new Charter will also acquire about 33% of a new Comcast-created and publicly traded spin-off company with about 2.5 million current Comcast customers.

Overall, these transactions, contingent on the approval of the merger between Comcast and Time Warner Cable, the deals would result in Comcast divesting about 3.9 million customers. That would put Comcasts managed residential subscriber base below 30% of total cable TV subscribers in the United States, the same market share the company had in past deals with Adelphia in 2006 and AT&T Broadband in 2002, Comcast says.

Todays Agreement follows through on our willingness to divest subscribers, while also marking an important step in our merger with Time Warner Cable, said Comcast CEO and chairman Brian Roberts in a statement. The realignment of key cable markets achieved in these transactions will enable Comcast to fill in our footprint and deliver operational efficiencies and technology improvements.

Charter president and CEO Tom Rutledge said that the transactions will provide Charter with greater scale, growth opportunities and improved geographical rationalization of our cable systems, which in turn will drive value for shareholders and more effective customer service.

After the merger and deals, the merged Comcast-Time Warner Cable company will be the largest cable operator at about 30 million customers.

Shareholders of Comcast and Charter will like this deal for both companies, as it accelerates cash generation and rationalizes their regional footprints, said analysts Adam Ilkowitz and Donald Chen of Tokyo-based financial services group Nomura. Charter cements its footprint in the Midwest, adding (Time Warner Cable) assets in Ohio and Wisconsin, while also acquiring the former Insight Communications in Kentucky and Indiana. (The new spin-off company) SpinCo adds some major markets, namely Minneapolis, Detroit, and Indianapolis. Comcast gains control of key media markets in Los Angeles and Dallas, while divesting subs in a shareholder-friendly way.

The Comcast-Time Warner Cable deal faces likely approval from the Justice Department but was recently met with reluctance by a Senate panel. I am deeply concerned that Comcasts proposed acquisition of Time Warner Cable would give Comcast both the power and the incentive to act as a gatekeeper on the Internet, raising costs and limiting choices for consumers, wrote Sen. Al Franken, D-Minn., in a letter recently.

Seventeen days after undergoing surgery on his left ankle, New York Giants quarterback Eli Manning shed his protective walking boot before participating in the annual March of Dimes' "March for Babies" event on Sunday.

Manning, who usually fully participates in the three-mile walk, kicked off the event by walking the first 100 yards before being picked up by an SUV. According to NJ.com, Manning was moving without any noticeable limp.

The 33-year-old quarterback is expected to miss the team's upcoming organized team activities, but he's on pace to be back before training camp this summer.

Manning said Sunday he is enjoying the "sense of urgency" to learn a new offense under coordinator Ben McAdoo.

"We have a lot of work to do learning the new offense," Manning said, per the New York Daily News. "We have a lot of new players also. I'm trying to put a lot of faces with names and getting to know your teammates on a personal side. I thought we had a good first week."

Coming off an abysmal season, missing OTAs is a negative, but making sure he is full-go by training camp -- when the real work gets done -- is the priority for Manning. It's a pivotal campaign for the Giants signal-caller. Another terrible season, and Big Blue might be forced to consider its future without Manning under center.

In his first interview since his "conscious uncoupling" with Gwyneth Paltrow last month, Chris Martin shed new insight into the demise of their marriage. The Coldplay frontman addressed their surprising separationand touched on his own personal issueswhile speaking to BBC Radio 1's Zane Lowe.

Did his relationship breakdown with Paltrow inspire the band's new album, Ghost Stories?

"I wouldn't use the word breakdown," Martin said. "This was more a realization about trying to grow up basically. Like I said, if you can't open yourself up, you can't appreciate the wonder inside. So you can be with someone very wonderful, but because of your own issues you cannot let that be celebrated in the right way. What changed for me wasI don't want to go through life being scared of it, being scared of love, being scared of rejection, being scared of failure. Ever since our band came out, we have been a very polarizing group because we do a certain thing very well...About two years ago I was a mess really because I can't enjoy the thing that we are good at and I can't enjoy the great things around me because I'm burdened by thisI've got to not blame anyone else and make some changes."

While the musician doesn't directly address his 10-year marriage to Paltrow, it's easy to read between the lines. "Up to a certain point in my life I wasn't completely vulnerable and it caused some problems. If you don't let love really in then you can't really give it back. So what Ghost Story means to me is like you've got to open yourself up to love and if you really do, of course it will be painful at times, but then it will be great at some point," Martin said. "I think in life everyone needs to be broken in some way...I think everyone in their life goes through challenges, whether it's love or money, kids, or illness...You have to really not run away from that stuff. Life throws these colorful challenges at you...what we decided to do on Ghost Stories was to really be honest about it and say, this is what's been happening."

In the wide-ranging interview, Martin also revealed he has the hots for another British band.

"I think One Direction are the biggest band in the world. Their songs are great. I'm saying One Direction are brilliant and I'm not kidding. You know why? Because their songs are really good and I don't think that any of them are going to go solo. I think they appreciate their chemistry from watching their movie," Martin explained. "[Harry Styles] has come to a couple of our shows. I think I probably said the same thing about chemistry. I can't rememberI was too enamored with his haircut. I was like this: 'I was pretty sure I was a straight guy before.' I was having a hot flush."

Martin's full hour-long interview will air tonight at 8 p.m. local time on Lowe's BBC Radio 1 Show.
